Private Coaching

1.0 TERMS OF ENROLMENT
The following Contract governs your participation and enrolment with Naomie Thompson LTD, Naomie Thompson Coaching, and the services the company provides. This includes and is not limited to 1:1 coaching and mentoring, and group coaching programs. Please ensure that you have read this Contract carefully and fully understand the terms of service.
Relationship consultancy, Mentoring and Coaching services will be usually performed by Naomie Thompson, Director of Naomie Thompson Ltd. Naomie Thompson LTD reserves the right to provide a substitute teacher/coach/mentor if on the rare occasion Naomie Thompson is unable to provide the service you’ve paid for.
Naomie will be making suggestions, giving homework, advising you, taking you through exercises and meditations, and teaching you the communication and personal techniques the company developed and learnt. Unlike the co-active coaching aspects of our work together, where she asks questions and walks alongside you on your journey, rather than tell you what she believes is the best course of action for you: teaching and consulting does require her to lead and guide you. It requires her giving you information and instruction. You are aware that the coaching is in no way to be construed as psychological counselling or any type of therapy.
Naomie Thompson Ltd and our Director Naomie Thompson is not a therapist, nor licensed in any way. The decision to accept or decline the information, instructions, guidance, suggestions and teachings is yours to make.
We are committed to providing you with a positive experience. Thus, the Company may, at its sole discretion, limit, suspend, or terminate your participation in any of its programs (live, recorded, social media-based or digital) without refund and without forgiveness of remaining payments if:
● You become disruptive or difficult to work with;
● You fail to follow the Program guidelines; or,
● You impair the participation of our instructors in the Program(s).

By commencing a program of 1:1 coaching with Naomie Thompson Ltd you are agreeing to the Terms of Enrollment and the Policies outlined in this Contract. None of the provisions of this Contract affect your statutory rights.

2.0 PROGRAM DELIVERABLES

• Access to 12 hours of 1:1 coaching by video call (While in the program)
• Access to program materials (While in the program)
• Access to text message Naomie outside of your sessions. Messages are responded to Monday to Friday in UK office hours. Naomie will endeavor to reply to your messages within 48 hours during these times.

3.0 CONTENT

Program education and information is intended for a general audience and does not purport to be, nor should it be construed as, specific advice, tailored to any individual. All materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available by the Company or its designated facilitators, or any other source, oral or written, are for personal use in or in conjunction with this training program only.

• Program content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of the Company.
• The information contained in the Program material is strictly for educational purposes. Therefore, if you wish to apply ideas contained in this material, you are taking full responsibility for your actions, and you assume all risks, including, but not limited to, all losses, costs or damages or any kind whatsoever associated with your use of such material.
• We assume no responsibility for errors or omissions that may appear in any Program materials.
• You agree not to share your username and/or passwords with any third party.
• Any violation of the Company’s policies regarding content usage shall result in the immediate termination of your enrolment and participation in any Program without refund.

4.0 PRICING POLICY

• Your program price will be agreed upon with Naomie Thompson before commencement of program activities
• The program cost must be paid in full before commencement of program activities
• Where the program is being paid on an installment basis, you agree to make payments in line with your agreed upon payment plan
• In the event of delayed or delinquent payments, any program activities will be paused until receipt of payment in line with the payment schedule
• In the event of repeated payment delinquency, Naomie Thompson Ltd reserves the right to terminate the program activities and you forfeit your access to program materials
• We agree on a 3 month minimum contract
• The cost of your program will remain the same for the duration of the program. Naomie Thompson Ltd reserves the right to adjust future program prices.

5.0 CANCELLATIONS & REFUNDS
Cancellation of 1:1 sessions
We require a minimum of 24 hours’ notice to change or cancel an appointment without charge.
5.1 Refund Policy
All sales are final and no refunds will be afforded. You waive any rights to charge-back your purchase with your credit card processor.
This does not affect your statutory rights.
6.0 CONFIDENTIALITY POLICY
We respect your privacy - The term “Confidential Information” as used herein means, with respect to you, the Company, or any other Participant (collectively, a “Party”), a) the business activities, dealings or interests of such Party and/or its officers, directors, affiliates, employees or contractors; (b) any confidential information, knowledge and know-how, concerning the operations, products, services, procedures, or clients, patients or customers of Company, in any format whatsoever, including, without limitation, the techniques, formulations, organization, design, implementation, preparation and other operations, methods, and accumulated experiences incidental thereto, and further including, without limitation, information relating to marketing techniques, advertising, policies, procedures, promotions, customer lists, membership lists, mailing lists, registration cards, sales records, concepts, ideas, trade secrets, other proprietary information, training materials, teaching aids, webinars, membership materials (including but not limited to: reports, notes, files, records and any personally identifying information), and/or research of such Party.

Further, any and all Confidential Information which by its nature is confidential or which a Party, in its sole and absolute discretion, designates as such shall be deemed Confidential Information for purposes of this Agreement. This Agreement shall govern all communications between the parties.
We recognise that anything you share with us in your 1:1 coaching session is regarded as confidential, whether it is business or personal information. We undertake not to, at any time, (unless required to do so by law, or during supervision where only information relevant to Naomie Thompson's performance as a coach is discussed, no names are disclosed), either directly or indirectly, use or disclose any information you share with Naomie during 1:1 coaching sessions.
6.1 NON-DISCLOSURE, REPRODUCTION OF WORKS, & INTELLECTUAL PROPERTY:
In addition, you agree to maintain in confidence and will not disclose, disseminate or use any Confidential Information belonging to the Company, whether or not in written form. You agree that you shall treat all Confidential Information of the Company with at least the same degree of care as you accord your own confidential information. You further represent that you exercise at least reasonable care to protect your own Confidential Information. If the Recipient is not an individual, Recipient agrees that Recipient shall disclose Confidential Information only to those of its employees who need to know such information and certifies that such employees have previously signed a copy of this Agreement.

You further understand and agree that any disclosure or misappropriation of the Confidential Information at any time in violation of this Agreement will cause Company (or other Party, as applicable) irreparable harm. Thus, you understand and agree that since monetary damages will not be sufficient to avoid all harm and/or compensate for the unauthorized use or disclosure of the Confidential Information, injunctive or other equitable relief would be appropriate to prevent any improper actual or threatened use or disclosure of the Confidential Information or breach of this Agreement.

All material remains the property of Naomie Thompson Ltd, thus you agree:

• not to infringe the Company's copyright, patent, trademark, trade secret or other intellectual property rights;
• not to infringe any of the intellectual property rights of any other Program Participants;
• that any Confidential Information of or relating to a Program Participant that is shared by that Program Participant is confidential and proprietary, and belongs solely and exclusively to the Participant who discloses it;
• that any Confidential Information of the Company that is shared by the Company or any authorized representative of the Company is confidential and proprietary, and belongs solely and exclusively to the Company;
• not to disclose such Confidential Information that belongs to the Company or other
• Participants to any other person or use it in any manner other than in discussion with other Program Participants during Program sessions;
• that all materials and information provided to you by the Company are its confidential and proprietary intellectual property belonging solely and exclusively to the Company, and may only be used by you as authorized by the Company;
• the reproduction, distribution and sale of these materials by anyone but the Company is strictly prohibited; and,
• that if you violate, or display any likelihood of violating, any of your agreements contained in this paragraph the Company and/or the other Program Participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.

7.0 PRIVACY POLICY:
We manage your personal data in accordance with our Privacy Policy which can be found on the website. The Naomie Thompson website address is: http://naomiethompson.com.

You acknowledge that you have read the information contained within this contract and by checking the box and commencing with program activities you acknowledge that you agree to be bound by the terms herewithin.
